Welcome to CMR Associates. These Terms and Conditions govern your use of our website (https://brokerage.cmrtax.com/) and the CPA-led back-office services we provide. By accessing this website or engaging our services, you agree to comply with and be bound by these terms.

If you disagree with any part of these terms and conditions, please do not use our website or services. Please also review our Privacy Policy to understand how we collect and use your information.

01 Services Provided

CMR Associates operates as a CPA-led back office for real estate brokerages. Our core deliverables include, but are not limited to:

• Commission accounting and tracking via the Closivo platform.
• Calculation of agent splits, caps, referrals, and overrides.
• Payout processing and disbursement queueing.
• Monthly reconciliations of trust, operating, and commission accounts.
• Year-end 1099-NEC filing for qualifying agents.

Note: We act as your back-office administrative and accounting team. Engaging our services does not replace your primary tax CPA for corporate or personal tax return filings.

02 The Accuracy Guarantee

We stand behind the quality of our work. If we make a reconciliation error in any month, we will fix it at our own expense within five (5) business days of discovery. Furthermore, we will credit you a portion of that month's fee as specified in your direct Engagement Letter with our firm.

03 Client Responsibilities

To provide accurate and timely services, we rely on the information you provide. You agree to:

• Provide accurate, current, and complete data regarding closings, agent rosters, and split plans.
• Ensure all funds and transactions submitted for reconciliation are lawful and compliant with state real estate regulations.
• Respond promptly to requests for approvals or clarification required to process payouts and finalize monthly reports.

04 Fees and Payment

Our monthly fees are quoted transparently based on your agent count, deal volume, and entity complexity (typically ranging from $800 to $1,500/month). Specific billing terms, payment schedules, and onboarding fees will be detailed in your individual Engagement Letter.

06 Data Ownership and Portability

You retain full ownership of your data. We utilize third-party platforms (such as Closivo and Xero) to manage your back office. If you choose to terminate your engagement with CMR Associates, you are entitled to take your data with you. We do not hold client data hostage.

07 Limitation of Liability

To the maximum extent permitted by applicable law, CMR Associates, its partners, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the services.
• Any conduct or content of any third party on the services.
• Unauthorized access, use, or alteration of your transmissions or content.

08 Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Louisiana, without regard to its conflict of law provisions.

09 Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use our services after those revisions become effective, you agree to be bound by the revised terms.
